QPR Software Plc’s Annual General Meeting (“AGM”) will be held on Wednesday, June 17, 2026, at 12:30 p.m. (EEST) at the Company’s headquarters located at Keilaranta 1, FI-02150 Espoo, Finland. Reception of registered shareholders and coffee service prior to the meeting will begin at 12:00 p.m.
The AGM will address matters belonging to the Annual General Meeting under the Finnish Companies Act, including the presentation of the Financial Statements, Report of the Board of Directors and Auditor’s Report for the financial year 2025, the CEO review, and resolutions regarding Board remuneration, Board composition, and the election of the auditor.
The Board of Directors proposes to the AGM that no dividend be paid for the financial year ended December 31, 2025. In addition, the Shareholders’ Nomination Board proposes the re-election of current Board members Pertti Ervi, Antti Koskela, and Maija Hovila. Current Board member Jukka Tapaninen has informed the Nomination Board that he is no longer available for re-election, and Patrik Sallner is proposed as a new Board member. Pertti Ervi is proposed to continue as Chairman of the Board.
Furthermore, the Board of Directors proposes authorizations concerning share issues, the issuance of special rights entitling to shares, and the acquisition of the Company’s own shares to support the Company’s capital structure and strategic objectives.
Shareholders registered in the shareholders’ register maintained by Euroclear Finland Oy on the record date, June 5, 2026, are entitled to participate in the AGM. Registration for the AGM opens on May 22, 2026, and closes on June 12, 2026, at 10:00 a.m. (EEST).
